Our approach to governance

We want our governance to be meaningful, effective and smart. The structures and policies that we have in place are in line with internationally-recognised good practice, and help ensure that our governance enables to unlock further growth in a responsible manner.

Good governance goes beyond the boardroom – it is about how we make decisions and manage our risks, how we interact with stakeholders and how we treat the environment within which we operate. Our governance helps ensure that our business is run with a view to securing sustainable value in the long term.

At the heart of our commitment to good corporate governance is the belief that getting it right will help to build value for shareholders, which is ultimately how we measure success.

EuroChem is a member of Russia’s National Council on Corporate Governance. We believe that it is important to be part of the national dialogue on improving corporate governance standards. We hope our participation will help to contribute to the development of corporate governance in Russia, and that it will enable us to help shape developments in corporate governance expectations and regulations in Russia and globally.

While EuroChem is privately held, we understand the value of having systems that ensure proper strategic oversight, communications and controls throughout the company. This has an impact on how we work with our stakeholders:

  • our employees know that we are committed to their health and safety, and that we invest in developing the skills and knowledge of our staff so that they can grow within the company;
  • the communities where we work benefit from our commitment to investing in education, sports and environmental protection, as well as contributing significantly to local budgets;

  • local and federal officials know that EuroChem is committed to complying with local legislation, and seeks to maintain a continuous dialogue with them;
  • for our debt investors this has meant that during the financial crisis we maintained – and adhered to – prudent financial policies that saw the company emerge strongly from the severe market downturn in 2009.
